These Terms of Use govern your access to and use of the website located at ligamentsghflexi.world and the corporate health challenge services offered by Ligamentsghflexi, a company based at Prinsengracht 1123A, 1017 JK Amsterdam, Netherlands. By accessing our website or purchasing our programs, you agree to be bound by these terms. If you do not agree, please discontinue use of our website and services.

1. Definitions

In these Terms of Use, the following definitions apply:

• "We," "us," and "our" refer to Ligamentsghflexi.
• "You" and "your" refer to the individual visitor, client representative, or participant using our website or services.
• "Client" means an organisation that enters into an agreement with us to purchase corporate health challenge programs.
• "Participant" means an employee or authorised individual enrolled in a challenge through a Client organisation.
• "Services" means our corporate health challenge products including Sprint Step Challenge, Balance Break Program, Vitality Year Pass, participant portal access, challenge administration, support, and related deliverables.
• "Website" means ligamentsghflexi.world and all associated pages and subdomains operated by us.

2. Eligibility

Our website is intended for individuals aged eighteen and older. Client organisations must be duly constituted legal entities or authorised representatives thereof. By using our Services, you represent that you have the legal capacity and authority to enter into binding agreements on behalf of yourself or the organisation you represent.

3. Website Use

You may use our Website for lawful purposes related to learning about, enquiring about, or managing corporate health challenge programs. You agree not to:

• Use the Website in any manner that violates applicable Dutch, EU, or international law.
• Attempt to gain unauthorised access to our systems, participant portals, or data of other users.
• Transmit malware, spam, or harmful code through our contact forms or communications channels.
• Scrape, crawl, or harvest content from the Website without our prior written consent.
• Impersonate Ligamentsghflexi, our employees, or other users.
• Interfere with the proper functioning of the Website or Services through excessive automated requests or denial-of-service activities.

We reserve the right to suspend or terminate access to the Website for conduct that violates these terms or poses a security risk.

4. Service Agreements

Purchase of corporate health challenge programs is governed by a separate service agreement or order confirmation specifying the selected package, participant limits, start date, pricing, deliverables, and any customisations. In the event of conflict between these Terms of Use and a signed service agreement, the service agreement prevails for that specific engagement. Catalogue prices displayed on the Website are indicative starting rates and may be adjusted in formal proposals based on team size and scope.

5. Account Registration and Portal Access

Participants and client administrators may receive credentials to access our challenge portal. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. Notify us immediately at team@ligamentsghflexi.world if you suspect unauthorised access. We may suspend accounts that show signs of compromise or misuse.

6. Intellectual Property

All content on the Website, including text, graphics, logos, challenge frameworks, module designs, documentation, and software, is owned by or licensed to Ligamentsghflexi and protected by copyright, trademark, and other intellectual property laws. Clients receive a limited, non-exclusive licence to use challenge materials for the duration of their program and internal communication purposes as specified in their service agreement. You may not reproduce, distribute, modify, or create derivative works from our content without prior written permission.

7. Participant Conduct

Participants in corporate health challenges agree to engage respectfully and honestly. Falsifying activity data, harassing other participants through challenge communication features, or using the portal for purposes unrelated to the program may result in removal from the challenge at the discretion of the Client organisation and Ligamentsghflexi. Our programs promote inclusive participation; behaviour that excludes or demeans others is not tolerated.

8. Health and Safety Disclaimer

Corporate health challenges offered by Ligamentsghflexi are wellness engagement programs designed to encourage movement, mindfulness, nutrition awareness, and recovery habits in a workplace context. They are not substitutes for professional occupational health services, fitness assessments, or personalised wellness counselling. Participants should consult appropriate professionals before beginning new physical activities if they have health concerns. Clients are responsible for ensuring their workforce is informed that participation is voluntary unless otherwise agreed in employment policies.

9. Payment Terms

Payment terms for corporate health challenge packages are specified in the service agreement or invoice. Unless otherwise agreed, invoices are payable within fourteen days of issue. Prices are quoted in euros and exclude VAT unless stated otherwise. Late payments may incur statutory interest under Dutch law and reasonable collection costs. We may suspend Services for accounts with overdue balances exceeding thirty days after written notice.

10. Service Availability

We aim to maintain high availability of our Website and participant portal but do not guarantee uninterrupted access. Scheduled maintenance, infrastructure updates, or circumstances beyond our reasonable control may cause temporary downtime. We will endeavour to notify Clients of planned maintenance affecting active challenges in advance where practicable.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Ligamentsghflexi shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or Services, including loss of profits, data, goodwill, or business opportunity. Our total aggregate liability for any claim arising from or related to the Services shall not exceed the fees paid by the Client for the specific challenge program giving rise to the claim during the twelve months preceding the event.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Dutch law.

12. Indemnification

Clients agree to indemnify and hold harmless Ligamentsghflexi from claims, damages, losses, and expenses arising from the Client's breach of these terms, misuse of the Services, or violation of applicable law in connection with challenge administration, except to the extent caused by our gross negligence or wilful misconduct.

13. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Website and Services, you acknowledge that you have read and understood our privacy practices.

14. Third-Party Links

The Website may contain links to third-party resources such as Google Maps. We do not control and are not responsible for the content, privacy practices, or availability of third-party sites. Accessing third-party links is at your own risk.

15. Modifications

We may revise these Terms of Use at any time by posting an updated version on ligamentsghflexi.world. Changes become effective upon posting unless otherwise stated. Continued use of the Website after changes constitutes acceptance. Material changes affecting active service agreements will be communicated to Clients directly.

16. Governing Law and Disputes

These Terms of Use are governed by the laws of the Netherlands. Any dispute arising from or in connection with these terms or the Services shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands, without prejudice to mandatory consumer protection provisions where applicable.

17. Severability

If any provision of these Terms of Use is found invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
